  • You must make a claim within 30 days of receiving your first monthly scent.

  • We may request that you return the vial (at your cost) so we can inspect it.

Welcome to SimpleScents. These Terms and Conditions ("Terms") govern your use of the SimpleScents website, services, and any purchases or subscriptions you make with us. By accessing our website or using our services (including creating an account or placing an order), you agree to these Terms. Please read them carefully. If you do not agree, you should not use our site or services.

These Terms are governed by the laws of Ireland and applicable EU and UK consumer protection laws. They do not affect any rights you are granted by law. If you have any questions about these Terms, please contact us using the information at the end of this document.

1. Acceptance of Terms

  • By using the SimpleScents website or services, or by purchasing any product or subscription from us, you confirm that you accept these Terms and Conditions and agree to comply with them.
  • If you do not agree to these Terms, you must not use our website or services. Continuing to use the site indicates your acceptance of the Terms.
  • These Terms apply to all visitors, users, and customers of SimpleScents. Additional terms may apply to certain promotional offers or services, but we will highlight those to you where applicable.

2. Changes to These Terms

  • We may update or modify these Terms from time to time to reflect changes in our services, policies, or legal obligations. If we make material changes, we will post the revised Terms on our website with an updated "Last Updated" date.
  • Your continued use of the site or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
  • If any change to the Terms is materially adverse to you, and you are a current subscriber, you may have the right to terminate your subscription without penalty (see the Cancellation section below) by notifying us within 30 days of the change. In such case, we will refund any prepaid amounts for undelivered products in your subscription.

3. Privacy Policy

  • Your privacy is important to us. Our collection and use of personal data in connection with your use of SimpleScents is described in our Privacy Policy (available on our website). By using our site or services, you agree to the practices described in the Privacy Policy.
  • Please note that while we implement appropriate security measures, no data transmission or storage can be guaranteed to be 100% secure. By using our services, you acknowledge this risk. If you do not agree with our Privacy Policy, please do not use our services.

4. The SimpleScents Service and Products

4.1 Overview of Service

SimpleScents is a subscription-based fragrance discovery service that allows members to receive designer perfume or cologne in a 30-day supply (approximately an 8ml vial) each month. We partner with authorized wholesalers to source genuine brand-name fragrances. Our service is designed to let you try new scents without buying full bottles.

  • Personal Use Only: The products we send are for your personal use or for you to give as personal gifts. You agree not to resell or commercially exploit any products you receive from us.
  • No Affiliation with Designers: All brand names, perfume names, and designer trademarks on our site belong to their respective owners. SimpleScents is not affiliated with, endorsed by, or officially connected to any of the designer brands or manufacturers of the fragrances we offer. We repurpose genuine fragrances into our SimpleScents vial format for your convenience, but we have no arrangement with the brand owners authorizing this repackaging. All product names are used only to indicate the scent you will receive.
  • Authenticity: We guarantee that all fragrances are 100% authentic designer perfumes – we do not deal in imitations or knock-offs. Each fragrance is the genuine product sourced and repackaged in our signature vial. We also pride ourselves on being cruelty-free in our product sourcing.
  • Product Descriptions: We attempt to be as accurate as possible in describing products (notes, strength, longevity, etc.) on our site. However, product descriptions, images, and colors on the site are for reference only. The packaging of the monthly vial may differ slightly from images (e.g., color of the case). We do not guarantee that descriptions or other content are error-free, current, or complete. This does not affect your rights if a product is significantly misdescribed.
  • Allergies and Sensitivities: If you have sensitivities or allergies to certain fragrance ingredients, please review the perfume's ingredients (typically available from the original manufacturer) before use. Use all fragrances as directed – for external use only, and avoid contact with eyes or ingestion. If you experience any adverse reaction, discontinue use and consult a physician. SimpleScents is not liable for allergic reactions or misuse of products.
  • Personalized Selections: As a subscriber, you can choose the fragrances you want to receive each month by using our queue feature in your account. We encourage you to keep your queue updated with scents you wish to try. If you do not select a fragrance for a particular month, we may send you our featured selection for that month or another fragrance based on your preferences (if known), or we may postpone your shipment until you make a selection. We will do our best to ensure you receive a scent you'll enjoy, but ultimately the choice is yours to make each month.

4.2 Changes to Products or Availability

  • Product Availability: SimpleScents may offer a rotating catalog of fragrances. We reserve the right to change, substitute, or discontinue any fragrance or product offered on our site at any time, without prior notice. For example, if a particular perfume becomes unavailable or is discontinued by the manufacturer, we may remove it from our selection.
  • Out-of-Stock Situations: If you have selected a fragrance in your queue and it becomes unavailable (out of stock) when we are preparing your order, we will notify you. You may be given the option to select an alternate fragrance for that month. If we do not hear from you in time, we may send a similar fragrance (where possible) or skip that shipment and credit your account for a future month. We will always aim to inform you of such changes.
  • Right to Limit Quantities: We reserve the right to limit the number of products (including subscription slots) available to any individual customer or address, especially in cases of limited edition offerings or promotions, to ensure fair access for all customers.
  • Pricing Changes: We may adjust the pricing of any product or subscription plans over time (for example, in case of changes in VAT, supplier costs, or introduction of new plans). However, the price applicable to your purchase or subscription will be the price displayed to you at the time you place your order or subscription renewal. If a pricing error is discovered or if prices change before your order is accepted, we will contact you for instructions or cancel and refund your order if appropriate. Subscription price changes are handled as described under Subscriptions and Billing below.

5. Eligibility and Account Registration

5.1 Eligibility to Use the Site

  • Age Requirement: The SimpleScents service is intended for use by adults. You must be at least 18 years old to create an account or make a purchase on our site. If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian. By registering or placing an order, you confirm that you are 18 or older, or that you have your parent/guardian's permission.
  • Residency: Our service is currently available to customers in the Republic of Ireland and the United Kingdom. (We include Northern Ireland as part of the UK region for service availability.) We currently offer free standard shipping within the island of Ireland (Republic of Ireland and Northern Ireland). Customers in Great Britain (England, Scotland, Wales) are also welcome; any applicable shipping fees or conditions for delivery to Great Britain will be shown at checkout. We do not guarantee availability of our service outside these regions at this time.
  • Personal Use: You may only register an account and use SimpleScents for personal, non-commercial purposes. We reserve the right to refuse service, terminate accounts, or cancel orders at our discretion if we suspect misuse or violation of these Terms or any applicable law.

5.2 Account Creation and Security

  • Account Registration: To subscribe to SimpleScents or make use of certain features, you will need to create a user account. When registering, you must provide truthful, accurate, current, and complete information about yourself, including a valid email address and shipping address.
  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials (username/email and password). All activity that occurs under your account is your responsibility. If you suspect any unauthorized use of your account or a breach of security, you must notify us immediately.
  • Third-Party Sign-In: We may allow registration or login via third-party services (for example, signing in with your Google or Facebook account). If you do so, you authorize SimpleScents to access and use certain information from that third-party account (such as your name and email) to facilitate registration. All such information will be handled in accordance with our Privacy Policy.
  • Account Usage: You agree to use your account only for your own purposes and not to impersonate any other person or entity. You must not use anyone else's account without permission. We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.
  • Multiple Accounts: Each individual is generally limited to one SimpleScents account unless otherwise permitted by us. Creating multiple accounts to circumvent restrictions or exploit promotions is a violation of these Terms and may result in account termination or other action.

6. Subscription Plans and Billing

SimpleScents offers flexible subscription plans to suit your needs. This section explains how our subscriptions work, including billing cycles, renewals, cancellations, and refunds.

6.1 Subscription Options

  • Monthly Plan: Our standard subscription is a month-to-month plan. You will be billed once per month (on a recurring basis) and will receive one fragrance each month until you cancel. This plan offers flexibility with no long-term commitment – you can cancel any time before your next billing (see Cancellation below).
  • Multi-Month Plans: To save on costs, we may offer prepaid subscriptions for a fixed term (for example, a 3-month, 6-month, or 12-month plan). These plans are typically billed as a single upfront payment (or sometimes in installments) for the entire term and often come at a discounted monthly rate. When you purchase a multi-month plan, you are committing to the full term. No further payments will be taken during the term (after the upfront payment), and you will receive the monthly shipments for that duration. After the term ends, the subscription may automatically renew (see Renewal below) unless it is a non-renewing Gift Subscription.
  • Gift Subscriptions: You can purchase a SimpleScents subscription as a gift for someone else, choosing a 3, 6, or 12-month gift plan. Gift subscriptions are one-time upfront purchases that do not automatically renew at the end of the term. The recipient will receive the monthly deliveries for the prepaid duration. (See the Gift Subscriptions section below for more details.)

6.2 Formation of Contract

  • Order Confirmation: When you sign up for a subscription (or make a one-time purchase), you will go through our checkout process. After you place your order, we will send you an order confirmation email acknowledging that we have received your request. This email does not yet signify our acceptance of your order; it is an acknowledgment.
  • Acceptance: Our acceptance of your order (and the formation of a contract between you and us) occurs when we send a confirmation email that your first shipment is being prepared or has been dispatched. For one-time shop purchases, acceptance occurs when we email you that the order is confirmed and being processed. We reserve the right to decline or cancel any order before acceptance, for example, if we detect an issue with payment, a pricing error, or ineligibility. If we cannot accept your order, we will inform you and no charge will be made (or any payment already made will be refunded).

6.3 Pricing and Payment

  • Prices: All prices for subscriptions and products are displayed in Euro (€) and include applicable VAT/sales taxes unless stated otherwise. The price applicable to a subscription is the price at the time you sign up or when it auto-renews. If you have a multi-month prepaid subscription, you lock in that pricing for the pre-paid term.
  • Changes in Price: We reserve the right to change the pricing of our subscriptions or products. If you are on a recurring monthly plan and the price changes, we will notify you in advance (for example, by email) with at least 30 days' notice, giving you the opportunity to cancel if you do not agree to the new price. For multi-month plans, price changes would only apply upon renewal, not mid-term. Any pricing errors on the website may be corrected by us and we will inform you if an order in process is affected to give you the option to cancel.
  • Payment Method: By subscribing, you must provide a current, valid payment method (such as a credit or debit card) to be charged for the service. By entering your payment details and subscribing, you authorize SimpleScents to charge your provided payment method automatically for the subscription fees, including any recurring fees for renewals, and any other charges you may incur (such as purchases of extra items) in connection with your use of our services.
  • Billing Cycle:
  • Monthly Plan: If you are on the monthly plan, you will be billed once per month. Billing generally occurs on the same date each month as your original sign-up date or on a fixed scheduled date communicated to you (for example, some subscriptions are billed on the 1st or 5th of each month). We will inform you of your billing date when you subscribe. Your credit/debit card will be charged automatically on each billing date for that month's shipment.
  • Multi-Month Plans: If you choose a 3, 6, or 12-month plan (non-gift), you will typically pay the full term in advance at checkout (one lump sum covering all months). In some cases we may offer an installment option, where your card is charged in monthly installments even for a multi-month commitment – if so, that will be clearly indicated at checkout. After the initial term, the subscription will renew as described below, and you will be charged for the renewal term.
  • Billing Failures: It is your responsibility to ensure your payment details are up to date. If we are unable to process your payment on the billing date (e.g., card expired or insufficient funds), we may attempt the charge again after a short interval. If the payment continues to fail, we will notify you and we may suspend your subscription (no shipments will be sent) until payment is resolved. You remain responsible for any unpaid amounts. We reserve the right to recover any costs we incur due to failed payments (for example, bank fees) and to seek payment for past due amounts through appropriate means.

Taxes and Duties: We collect VAT for orders delivered within the EU (which is included in our prices). If you are ordering from the UK, our prices include VAT where applicable under UK rules. For any orders shipped to jurisdictions where additional import duties or taxes apply (e.g., if we ship outside of Ireland from time to time), you would be responsible for those charges. We will inform you during checkout if any additional charges apply or if you may be responsible for import duties (for example, shipping to Great Britain post-Brexit may incur customs duties for perfumes; if applicable, this will be indicated).

6.4 Automatic Renewal

  • Continuous Service: All SimpleScents subscriptions automatically renew at the end of their billing term to ensure uninterrupted service, unless you cancel in accordance with these Terms. This means:
  • A monthly plan will renew each month (and continue month-to-month) until canceled.
  • A 3, 6, or 12-month plan will automatically renew for an additional term of the same length at the end of the initial prepaid period (for example, a 3-month plan will renew for another 3 months), unless you cancel before the renewal.

Renewal Date and Notice: For multi-month prepaid plans, renewal typically occurs on the day after your current term ends. For example, if your 3-month plan started on January 1 and covered Jan–Mar, it would renew on April 1 for the next 3 months. We will send you a reminder email before a renewal of a multi-month plan (when required by law or as a courtesy) to remind you of the upcoming charge and term. This email will include instructions on how to cancel before renewal if you choose.

Charges at Renewal: The subscription will renew at the then-current standard price for that plan (excluding any new-customer promotions or discounts that applied to your initial term, unless we explicitly state otherwise). By subscribing, you acknowledge and agree that we may charge your payment method at the renewal for the appropriate amount unless you cancel beforehand. If the price for your plan has changed since your last term, we will notify you in advance, and by allowing the subscription to renew, you accept the new price.

Opting Out of Renewal: If you do not wish your subscription to renew automatically, you must cancel it before the renewal date (see Cancellation section below). Simply stopping payment or attempting to "return to sender" a box is not an effective way to cancel – you must actively notify us or use the online cancellation feature.

6.5 Cancellations and Termination

We want you to have flexibility in managing your subscription. Cancellation rules differ slightly depending on your plan type:

  • How to Cancel: You may cancel your subscription at any time by logging into your SimpleScents account and following the cancellation instructions, or by contacting our customer support (emailing us at info@simplescents.ie). We may provide a dedicated "Cancel Subscription" option in your account settings. If you encounter any issues, contact us and we will assist you.
  • Deadline for Cancellation: To avoid being charged for your next shipment, you must submit your cancellation no later than one (1) day before your next scheduled billing date. For example, if your billing date is the 15th of each month, cancel by the 14th to stop the next charge. Cancellations received after the billing has processed may not take effect until the following billing cycle.
  • Effect of Cancellation (Monthly Plans):
  • If you cancel a monthly plan before the next billing date, you will not be charged further and will not receive any further monthly shipments.
  • If you cancel after you have already been billed for the current month's box (or on the day of billing), that shipment will still be sent to you and the cancellation will take effect afterward. We do not offer refunds for a monthly subscription charge once the billing has occurred, except as required by law or unless the shipment is not fulfilled (e.g., if we fail to deliver, see Refunds section).

Effect of Cancellation (Prepaid Multi-Month Plans): If you have a prepaid multi-month subscription (3, 6, 12 months):

  • You can stop the automatic renewal of your subscription by cancelling at least one day before the end of your current term. In that case, your subscription will simply end after the prepaid term is complete, and you will not be charged for a renewal.
  • Mid-Term Cancellation: You may cancel mid-term to prevent renewal, but the cancellation will not result in a refund of the unused portion of the term, because you received a discount for the commitment. You will continue to receive any remaining shipments that you have already paid for, after which the subscription will end. For example, if you bought a 6-month plan and after 4 months you decide to cancel, you will still receive the last 2 months that are paid, and then it will not renew after the 6th month.
  • We do not provide partial refunds for unused months in a multi-month plan except in exceptional circumstances required by law or explicitly promised.

Immediate Termination by SimpleScents: We reserve the right to terminate or not renew your subscription for any reason by providing notice to you. If we terminate your subscription without cause (for example, if we decide to discontinue subscriptions or no longer serve your region), and you have prepaid months remaining, we will refund the unshipped portion of your subscription. If termination is for cause (for example, violation of these Terms, fraudulent activity, or abuse of the service), we may terminate immediately without refund.

Cancellation of Gift Subscriptions: Gift subscriptions cannot be "canceled" by the recipient or purchaser once purchased, because they are one-time purchases (the gift will run for the full term paid). The only exception is that the original purchaser may request a cancellation and refund before the first shipment is sent if they change their mind or entered the wrong details, and only if the gift code has not been redeemed by the recipient. Once the gift term has started (or the code redeemed), no refund is available (except as covered under statutory 14-day cooling-off rights — see Section 9.3 below).

Confirmation: When you cancel, we recommend you retain a confirmation (screenshot or email) of the cancellation. If you do not receive a confirmation, please contact us to ensure your cancellation was received.

6.6 Gift Subscriptions

  • Purchasing a Gift: You may purchase a SimpleScents subscription as a gift for someone else (the "Recipient"). Gift subscriptions are available in fixed durations (e.g., 3, 6, or 12 months) and must be paid in full at the time of purchase. During purchase, you will provide the Recipient's delivery information and can schedule when the gift should start.
  • Redemption: In some cases, we may issue a unique gift code or link to the Recipient to redeem their subscription and provide their preferred shipping address or scent preferences. It is the Recipient's responsibility to redeem the gift code. Unredeemed gifts will still expire after a reasonable period (for example, if a gift code is not redeemed within 1 year, we reserve the right to consider it forfeited, unless the delay was outside the recipient's control).
  • No Auto-Renewal: Gift subscriptions do not renew automatically at the end of the term. They will simply expire after the last prepaid month is delivered. If the Recipient wishes to continue with SimpleScents, they will need to sign up for their own subscription.
  • Non-Refundable: Gift subscriptions are non-refundable once the first shipment has been dispatched or the code has been redeemed (whichever comes first). The purchaser cannot cancel a gift subscription mid-term to receive any refund, and the Recipient cannot exchange the gift subscription for cash or other products. (This does not affect any right either party may have to a refund for defective products or other statutory rights.)
  • Recipient Accounts: The Recipient of a gift subscription may be required to create a SimpleScents account to manage their shipments (e.g., to select their monthly fragrances). The Recipient is also bound by these Terms as a user of our service. We encourage gift purchasers to inform Recipients of these Terms.
  • Existing Subscribers as Recipients: If the Recipient is already a SimpleScents subscriber, the gift can still be applied. We will add the gifted months to their account (typically queuing the gift term to begin after their current paid period ends). Alternatively, the recipient may choose to create a separate account just for the gift period. However, note that one person should generally maintain only one active account (to avoid confusion with deliveries). We will work with any gift recipient who is already a customer to ensure a smooth experience.

7. Shipping and Delivery

We aim to deliver your fragrances to you reliably and on time. Please read the following policies regarding shipping:

  • Shipping Areas: We currently ship to addresses within Ireland and the UK. For Republic of Ireland and Northern Ireland addresses, we offer free standard shipping on all subscription orders (and any one-time orders of products, unless stated otherwise). For other parts of the UK (Great Britain), shipping may be free or may incur a fee depending on promotions – any applicable shipping fee will be shown at checkout. We do not ship outside Ireland/UK at this time. (If in the future we expand shipping to other EU countries, relevant terms will be updated and shipping costs will be displayed at checkout.)
  • Courier and Schedule: We use An Post (the Irish postal service) and its partners for delivery of SimpleScents packages. Orders are typically dispatched in batches on specific days of the week. We ship subscription orders exclusively on Mondays and Thursdays. This means that once your monthly order is ready, it will be mailed out on the next Monday or Thursday dispatch day. Dispatch days may shift slightly around public holidays, and we reserve the right to adjust our shipping schedule if needed (e.g., to add additional dispatch days during busy seasons).
  • Delivery Timeframe: Delivery times can vary, but standard post within Ireland usually arrives in 1-5 business days after dispatch, and to the UK typically within 3-7 business days after dispatch. However, please allow for potential delays (especially for UK delivery due to customs or during peak seasons). We will provide an estimated delivery range for your order.
  • 30-Day Delivery Guarantee: We guarantee that your order (whether a subscription shipment or a one-time purchase) will be delivered no later than 30 days after we confirm your order. In the rare event that we cannot fulfill delivery within 30 days, we will notify you of the delay in writing (e.g., by email). If the delay is due to unforeseen circumstances and we are unable to meet the 30-day window, you have the right to:
  • (a) Cancel the order and receive a full refund of any amounts paid for the undelivered item, OR
  • (b) Agree to a new delivery timeframe. If you choose to continue waiting, we will provide a revised estimated delivery date and keep you updated. If that new date cannot be met, you will again have the option to cancel for a full refund.
    This 30-day delivery guarantee is in line with EU consumer protection laws. It does not apply if you provided an incorrect address or failed to collect the item (see below). It mainly covers delays within our control or our carrier's control.

Title and Risk: Ownership of the product passes to you once we have received full payment and the product is delivered to the address you provided. At that point, you become the owner of the fragrance vial for that month. Risk of loss or damage to the product passes to you upon delivery to your designated address (or upon attempted delivery if you fail to accept delivery). Until that point, any loss or damage is our responsibility. This means if a package is lost in transit before it reaches you, we will replace it at no cost to you (or refund you if replacement is not possible). If the package shows as delivered by the carrier, then any loss after that point is your responsibility.

Delivery Address: It is your responsibility to provide a complete and correct shipping address for each order. Please include any necessary details like apartment number, postal code (Eircode), etc. We will deliver to the exact address you give us.

  • If you need to change your delivery address, please do so in your account or notify us well before your next shipment is dispatched. Once a package is dispatched, the address cannot be changed. We cannot reroute packages that are already in transit.
  • If you move or wish to change address for future shipments, update your account info at least a few days before the next dispatch date to ensure the change takes effect for that shipment.

Missed Delivery or Wrong Address: If no one is available at your address to receive the package, An Post (or the local postal service) will follow their standard procedure, which may include:

  • leaving it in a safe place or with a neighbor (if you have agreed to that with your postal service), or
  • taking it to a local depot/post office and leaving you a notice (delivery slip) on how to collect or rearrange delivery.
    Please follow up promptly on any missed-delivery notice. If a package is returned to us because it was not collected in time or because the address provided was incorrect or undeliverable, we handle it as follows:
  • For subscription vials that come back to us, the product may no longer be usable for re-delivery (perfume cannot always be resent once returned). Such returned items have no cash value and may be disposed of. We do not automatically resend a subscription shipment that was returned due to customer address issues or failure to collect, and we do not issue a refund in such cases (the assumption is that the service was provided and the issue was not on our side). You may contact our support to discuss options – we value our customers and may offer to resend the item as a courtesy one-time, but this is at our discretion.
  • To avoid this situation, always double-check your address and follow up on delivery attempts.

International Delivery (if applicable): If we ever agree to ship an order outside of Ireland/UK, be aware that you would be considered the importer and responsible for any customs clearance and fees. Delivery times will be longer and subject to foreign postal services. We will provide details case-by-case if we accommodate such requests.

Damage in Transit: We pack our fragrance vials securely. However, if your package arrives and the product is damaged or leaking, do not use it. Take photos of the damage if possible and contact us right away (within 15 days of delivery) so we can arrange for a replacement (see Returns & Replacements below).

Lost Packages: If your tracking information (if provided) shows delivered but you did not receive the item, first double-check around your property or with neighbors/building managers. If still missing, contact us and we will work with you to investigate. We may require you to complete a short declaration of non-receipt for our records. At our discretion, we may send a one-time replacement. Repeated claims of missing deliveries may result in requiring signature confirmation or alternate arrangements for future shipments.

8. Returns, Refunds, and Cancellation Rights

Because SimpleScents is a discovery subscription service, our return and refund policies differ from typical retail purchases. Please review them below:

8.1 No Returns on Subscription Vials (Change of Mind)

  • Subscription Months: We do not offer returns or refunds on monthly subscription fragrance vials if you simply change your mind or don't like the scent you chose. Part of the SimpleScents experience is discovering new fragrances, and sometimes a scent might not be to your liking – we encourage you to use our scent quiz and read reviews to help choose scents you'll love. When you receive your monthly vial, that item is considered delivered as described (the specific fragrance you selected or was part of your plan). Please choose carefully, as once a monthly fragrance is shipped, it is yours. We cannot restock or reuse a perfume vial that has left our control, so we do not accept returns in this case.
  • Accordingly, no refunds are provided for subscription shipments that have been delivered, except in cases of damage, defect, or error on our part (see below). This policy helps us keep costs low and is standard for subscription boxes that provide consumable items. (This does not affect your right to cancel future shipments – you remain free to cancel your subscription going forward, as described in Section 6.5.)

8.2 Damaged or Defective Products

We want you to have a great experience with each scent. If something goes wrong with your delivery:

  • Damaged in Transit: If a fragrance vial arrives broken, cracked, or leaked, or if you receive a shipment missing its perfume or otherwise unusable, please let us know within 15 days of delivery. We will ask for a description of the issue and usually a photograph of the damage (this helps us verify and improve our packaging). Once confirmed, we will offer you a free replacement of the same item. If that fragrance is out of stock or discontinued, we may offer a replacement with a different scent of your choice or a refund/credit at our discretion. We may require you to return the damaged item to us (at our expense) in some cases, but typically a photo suffices.
  • Defective Product: In the unlikely event that a product you receive is not what was promised – for example, if you were sent the wrong fragrance, or the vial is empty, or the scent is clearly "off"/spoiled – please contact us within 15 days of receipt. We will correct the mistake by sending the correct item as quickly as possible, or by issuing a refund or credit for that month. We may request return of an incorrect item (at our cost) if it was a mistake.
  • Incompatible or Faulty Atomizer: Each month's fragrance typically comes with a travel-friendly atomizer or fits into a reusable case. If the spray mechanism is not working, or you have any mechanical issue with the vial, let us know. We can send a replacement atomizer or vial. We design our vials to contain approximately 8ml (about 120 sprays). Note that vials are not filled to the very top — a small air gap (about 5% of volume) is normal and ensures safe transit (this is standard for perfumes due to expansion and pressure changes). If your vial appears slightly below full, this headspace is intentional and not a leak or shortage. However, if a vial is significantly under-filled due to a leak or error (e.g., half empty on arrival), that is treated as damage – contact us for replacement.

All the above remedies (replacement or refund for damaged/defective items) will be provided at no cost to you. We may limit replacements if there is abuse of this policy. We reserve the right to refuse a replacement (and instead offer a refund or credit) if repeated damage occurs or in cases where replacement is not feasible.

8.3 Returns of Full-Size Products or Accessories

If SimpleScents offers one-time purchases of products outside the subscription (for example, full-size perfume bottles, gift sets, or accessories like cases), the following return policy applies to those items:

  • Return Eligibility: You may return a one-time purchase product (non-subscription item) within 14 days of delivery for a refund or store credit, provided that the item is unopened, unused, and in its original condition with all original packaging intact. For example, if we sell a full-sized retail perfume bottle and you decide you don't want it, you must not break the seal or use the perfume if you intend to return it. Similarly, accessories like cases should be unused.
  • Exclusions: For hygiene and quality reasons, opened or used fragrances cannot be returned if they have been unsealed after delivery (unless they are defective). If you have opened a full-size perfume and simply dislike it, we cannot accept a return of that opened product (this is consistent with the exception to cancellation rights for unsealed goods that are not suitable for return due to health protection – in this case, we treat opened perfume as non-resalable). However, your statutory rights regarding product quality still apply (see Section 9.4 below for defective items).
  • Return Process: To initiate a return, you must contact our customer support (email us) to obtain a Return Merchandise Authorization (RMA) and the return address. We will provide you with instructions. You are responsible for shipping the item back to us in secure packaging. We recommend using a tracked service for your protection. Unless the product was defective or we sent the wrong item, return shipping costs are your responsibility.
  • Condition of Returns: Returned items must arrive to us in a resalable condition. If an item is returned damaged due to inadequate packaging or if it is clearly used or not in original condition, we reserve the right to deny a refund or to deduct an amount from the refund to reflect the diminished value of the goods.
  • Refund Timeline: Once we receive and inspect the returned item, we will process your refund or credit within 14 days. If approved, refunds will be issued to the original payment method. If you prefer, we can issue a store credit which you can use on our site. We will notify you by email when your return has been processed. (Please note that your bank or card issuer may take additional time to post the refund to your account.)
  • Non-Returnable Items: Any personalized or custom items (if we offered engraving or special orders) would not be returnable unless defective. Also, any free gifts or promotional items received as part of a purchase must be returned if you are returning the main product; otherwise, the value of those gifts may be deducted from your refund.

8.4 Your Statutory Right of Withdrawal (14-Day Cooling-Off)

If you are a consumer in the EU or UK, you have a legal right to cancel your order for any reason within a certain cooling-off period for distance sales:

  • Subscription Orders: For subscription services, under EU/UK law, you have the right to cancel your subscription contract within 14 days from the day after you receive your first delivery (or from the day after you sign up, if you cancel before the first delivery). This right is to cancel the ongoing contract, not individual shipments. If you exercise this right:
  • You must inform us explicitly (e.g., via email) within the 14-day period. We will then cancel your subscription going forward.
  • If your first monthly vial has already been delivered to you, you should return that first product to us (at your cost) without undue delay, and in any event within 14 days of notifying us of cancellation. The product should be in its original state (it's acceptable to have opened and tested it, since you wouldn't know if you like it otherwise, but if you have used a significant portion of it, we may deduct for the diminished value).
  • Once we receive the returned first product (or proof that you have sent it back), we will issue a refund for the price you paid for that product/first month and any advance payments for future months. We are allowed by law to deduct from your refund if the product is not returned in new condition (because you handled it beyond what is necessary to check it). Since it's a small vial, using a few sprays to test is fine; using most of it up would likely result in only a partial refund.
  • Your subscription will be terminated and no further shipments will be sent or charged. (If you cancel within 14 days of signing up and before we shipped anything, we will refund any payment immediately, and no shipment will be sent.)
  • Important: This statutory cancellation right is separate from our general cancellation policy. It specifically allows you to cancel a subscription early on if you change your mind, even if you agreed to a fixed term. However, it expires 14 days after your first delivery. After that, our normal cancellation terms apply (no mid-term refunds on multi-month plans, etc., except as allowed by the contract or other laws). Also note, if you signed up using a gift subscription, the 14-day cooling off may not apply if you are not the purchaser (the purchaser might have the right to cancel within 14 days of purchase if the gift hasn't been redeemed or delivered yet).

One-Time Product Purchases: For any one-time purchase of goods (like full-size bottles or merchandise) not under a subscription, you have the right to cancel your order within 14 days of delivery for any reason. To exercise this, you must inform us within those 14 days, then return the product to us (at your cost) in original, unopened condition within 14 days. We will then refund you the price of the product and the original standard shipping cost (if any was charged). If you chose an expedited shipping option, we will only refund the equivalent of standard shipping cost. Any import duties or fees you paid are not refundable by us (you'd have to seek reclaim from customs if possible). We may deduct for any handling of the goods that diminished their value (similar to the return policy above for opened items).

Exceptions: The law provides exceptions to the 14-day right. Notably, if goods are sealed for health or hygiene reasons and you unseal them after delivery, the right to cancel can be lost. Perfume is arguably a product that can be resealed and resold if unopened, but once opened, its value diminishes and we cannot resell it. Therefore, if you have opened a full-size perfume bottle, we reserve the right to refuse a return under the cooling-off period for hygiene reasons (as the scent could have been contaminated, etc.), or we will deduct for the diminished value (which could be up to 100% if extensively used). This does not typically apply to the small subscription vial, as that is a service providing a sample, but see above for subscription cancellation nuances.

How to Exercise: To exercise your right of withdrawal, you must send us a clear communication (email is best) stating that you wish to cancel. You can use the EU model withdrawal form language, but it's not required; a simple email with your order info and statement to cancel is enough. We will acknowledge your request and provide return instructions if applicable.

Refund Timing: For a valid cancellation under this statutory right, we will refund you within 14 days of receiving the returned goods or proof of return (whichever first). If no goods needed to be returned (because you canceled before shipment), then within 14 days of your notice of cancellation.

Note: This Section 8.4 is intended to summarize your legal rights under the EU Consumer Rights Directive (and UK Consumer Contracts Regulations). If there is any conflict between this section and the mandatory laws applicable to you, the law will prevail. Our own return policies (Sections 8.1–8.3) do not limit these statutory rights.

8.5 Refunds

  • Method of Refund: Refunds will be processed to the original payment method you used, unless we explicitly agree otherwise. If that payment method is unavailable (e.g., card expired and cannot receive refund), we will arrange an alternative way to refund you (such as bank transfer or store credit) by mutual agreement.
  • Partial Refunds: If you are owed a partial refund (for example, you prepaid a 12-month subscription and are entitled to a refund of remaining months because we ended service), we will calculate the amount on a pro-rata basis for undelivered items, or as otherwise communicated.
  • Timing: Once approved, we initiate refunds promptly. However, it may take several business days for the credit to appear in your account depending on your bank or card provider. We will email you when the refund is issued from our side. If you have not received an expected refund within 14 days after we issued it, please let us know and also check with your bank.
  • Store Credit: In some cases, we may offer or you may request a refund in the form of store credit. Store credit can be applied to future purchases or subscriptions on our site. Store credits may have an expiration (we will inform you if so; generally, credits issued as goodwill do not expire within at least one year). Store credit is not redeemable for cash.

9. Intellectual Property

9.1 Ownership of Site Content

  • SimpleScents IP: The SimpleScents website and all content available on it (including text, graphics, logos, button icons, images, audio clips, video clips, data compilations, and software) are owned by SimpleScents or our licensors and are protected by copyright, trademark, and other intellectual property laws. The compilation of all content on the site is the exclusive property of SimpleScents.
  • Trademarks: SimpleScents™ and our logo are trademarks/service marks of SimpleScents (whether registered or unregistered). All product and brand names of fragrances remain the trademarks of their respective owners. We acknowledge those trademarks; our use of them is nominative (for identification of the fragrance), and we do not claim any ownership over those third-party marks.
  • You are granted a limited license to access and use the site for personal use (see License below), but no right, title, or interest in our site or content is transferred to you. You agree not to copy, reproduce, modify, distribute, or create derivative works from any portion of the site except as expressly permitted by these Terms or by law.

9.2 Limited License to Use Our Site

  • We grant you a limited, revocable, non-exclusive, non-transferable license to access and make personal use of the SimpleScents website. Under this license, you may view and download pages from the site for your own personal use. However, this license does not allow you to:
  • Republish or redistribute any content from our site (other than via standard sharing features such as social media share buttons that we provide).
  • Use any of our branding, logos, or images without our express permission.
  • Copy or reproduce any portion of the site for commercial use (such as scraping product listings to display elsewhere).
  • Modify, reverse-engineer, or decompile any software or functionality on the site.
  • Use any automated tools (robots, spiders, etc.) to data-mine or scrape the site beyond typical search engine indexing, or to interfere with the site's operation.
  • Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, layout) of SimpleScents without our prior written consent.
  • Use any tags or hidden text utilizing "SimpleScents" or our trademarks without our express consent.

Any unauthorized use of the site or content terminates the permission or license granted by us. We reserve the right to block or restrict any users or IP addresses that we suspect of violating these prohibitions. If your access is terminated due to misuse, you must immediately destroy any downloaded or printed materials from our site.

9.3 User Content and Reviews

  • User Submissions: The SimpleScents site or our social media pages may allow customers to post reviews, comments, or other content ("User Content"). By submitting any User Content, you represent that it is your own original content (or you have permission to post it) and that it does not infringe on others' rights. You retain ownership of your User Content.
  • License to SimpleScents: By posting or submitting any User Content (such as a product review or a testimonial), you grant SimpleScents a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish, translate, distribute, and display that content in any media. This license allows us to showcase customer reviews on our site, social media, or in marketing materials. For example, if you write a great review of a scent, we might quote it on our Instagram (with attribution to your first name or username). If you do not agree to grant this license, please do not submit content.
  • No Compensation: You understand that you will not be compensated for any User Content. You also agree that SimpleScents is under no obligation to respond to or post any User Content. We reserve the right to edit or remove any User Content at our discretion (for example, if it contains profanity or personal data).
  • Prohibited Content: You may not post any content that is illegal, offensive, defamatory, violates someone's privacy or intellectual property, or is otherwise against our Acceptable Use Policy below. We have the right (but not the obligation) to monitor and remove or disable access to any User Content that we deem in violation of these Terms or harmful in any way.

9.4 Relationship to Brands and Intellectual Property Notices

  • Brand Names: All designer perfume and cologne names, as well as brand logos that may appear on our site, belong to their respective owners. They are used on our site strictly for the purpose of identifying the fragrance being sampled. Nothing in our service is intended to imply any endorsement by or affiliation with these third-party brands.
  • Repackaging Notice: The perfumes we send you are genuine products that have been repackaged by SimpleScents into our smaller vials. The original manufacturers/brand owners are not involved in the preparation or distribution of these samples. We include this notice in compliance with trademark law: the genuine perfume is manufactured by [the respective brand], but it has been rebottled by SimpleScents, a company independent of [Brand].
  • Intellectual Property Infringement: We respect intellectual property rights. If you believe that any content on the SimpleScents site (including user-submitted content) infringes your copyright or other IP rights, please notify us (see Contact section). Provide detail of the infringement (e.g., what content, proof of your rights, etc.). We will promptly investigate and remove or disable infringing material in accordance with applicable IP laws (such as the Digital Millennium Copyright Act in the U.S., if relevant, or EU directives on copyright).

10. Acceptable Use and User Conduct

We want SimpleScents to be a positive experience for everyone. By using our site and services, you agree to behave lawfully and respectfully. Prohibited activities on our website include, but are not limited to, the following:

  • No Illegal Use: You must not use the SimpleScents site or services for any unlawful purpose or to promote illegal activities. This includes not violating any applicable export laws (for example, do not attempt to have us ship restricted items in violation of law).
  • No Fraud or Interference: You will not attempt to defraud us or other users, and you will not interfere with the proper working of the site. Examples of prohibited conduct:
  • Impersonating any person or entity or misrepresenting your affiliation or age.
  • Using another user's account without authorization.
  • Introducing any malicious software, viruses, or harmful code to the site.
  • Attempting to gain unauthorized access to our systems or data (hacking, password mining, etc.).
  • Engaging in any activity that disrupts or diminishes the quality of our users' experience, such as launching denial-of-service attacks or using automated systems to repeatedly access the site.

No Data Scraping or Harvesting: You agree not to scrape, collect, or harvest any personally identifiable information from the site for any purpose without our prior written consent. Also, automated querying or crawling of the site in a manner that sends more requests than a human could reasonably produce is not allowed (except as allowed by a robots.txt file or search engine indexing).

User Content Standards: If you post reviews or comments:

  • No offensive content: Do not post anything that is obscene, pornographic, hateful, or racially/ethnically objectionable.
  • No harassing or defamatory content: Do not harass, bully, or defame any individual or entity. This includes refraining from abusive language toward SimpleScents staff or other users.
  • No advertising or spam: User content areas are not to be used for commercial solicitation or spamming. Do not post advertisements, promotional materials, or links to other websites that are unrelated to a genuine review or comment. Chain letters, pyramid schemes, and solicitations are prohibited.
  • No infringement: Do not post content that infringes on someone else's intellectual property or privacy rights (for example, don't copy a blogger's perfume review and post it as your own; don't upload someone else's photo without permission).
  • Relevant and truthful: If leaving a review, make it about the product/service and based on your actual experience. Don't game the system with fake reviews. We may remove reviews that we reasonably believe are not genuine.

Community Guidelines: We may have additional community guidelines for social media or any forums we host. Those, if present, are incorporated by reference. Always be respectful and considerate.

Enforcement: If we determine (in our reasonable opinion) that you have violated this Acceptable Use policy or any provision of these Terms:

  • We may remove or edit any offending content.
  • We may issue a warning to you, or we may suspend or terminate your account and refuse current or future use of our services. Serious violations (e.g., fraud or illegal acts) may result in immediate termination and referral to law enforcement if appropriate.
  • SimpleScents reserves the right, but has no obligation, to monitor interactions and content on our site. We are not liable for user content or conduct, but we will take action when we become aware of violations.

11. Disclaimers of Warranties

Please read this section carefully. It limits the warranties we provide to you. Nothing in this section is intended to reduce or limit any statutory warranties or consumer rights that are mandatorily provided under Irish, EU, or UK law (for example, your right to receive goods of satisfactory quality and as described, as outlined in Section 9.4 above). This section applies to the extent permitted by applicable law.

  • Website and Service "AS IS": The SimpleScents website and subscription service are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to maintain a reliable service, we make no warranty that the website will be uninterrupted, error-free, or secure. We do not guarantee that any content (including User Content) will be accurate or complete. You use the site at your own risk.
  • No General Warranty on Fitness: Except for the explicit commitments we make in these Terms (and except for any product warranties provided by law), SimpleScents disclaims all warranties and conditions of any kind, whether express or implied, including implied warranties of merchantability (satisfactory quality), fitness for a particular purpose, and non-infringement. For example, while we hope you love each fragrance, we make no warranty that any particular scent will meet your personal expectations – scent preference is very subjective.
  • Product-Specific Warranty: We do warrant that any physical goods we send (perfume vials, etc.) will conform to their description (i.e., it will be the perfume you ordered) and will be of satisfactory quality (not defective) and fit for their generally intended use (which is to apply as a fragrance). If this warranty is breached, your remedies are those outlined in Sections 8.2 and 8.4 (return for replacement or refund). We do not extend any further guarantees. The perfumes themselves are made by third parties and we do not provide any additional warranty on the perfume beyond what the original manufacturer might offer.
  • No Medical Advice: Any information on our site about fragrance notes or ingredients is for informational purposes only. We are not providing medical or dermatological advice. If you have medical concerns (such as allergies or sensitivities), you should consult a professional.
  • Digital Interactions: We do not warrant that emails or communications from us will be free of viruses or harmful components. You should ensure you have appropriate antivirus software.
  • In summary, to the fullest extent allowed by law, we do not make promises beyond what is explicitly stated in these Terms and any additional terms for specific services.

If you are a UK consumer: Nothing in these Terms will affect your legal rights under UK law which cannot be excluded or limited, including rights relating to faulty or misdescribed products. In particular, we do not exclude our obligations regarding product quality and redress as set out in the UK Consumer Rights Act 2015.

12. Limitation of Liability

Please read this section carefully as well. It limits the liability of SimpleScents to you. Again, this is subject to applicable law; certain kinds of liability cannot be limited or excluded by law, especially for consumers, and we are not attempting to exclude any liability which cannot be excluded by law (such as liability for personal injury caused by our negligence, or for our fraud, or for delivering a defective product that causes damage).

  • Foreseeable Losses Only: If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by both you and us at the time of your purchase.
  • Personal Use Limitation: We supply products for domestic and personal use. We have no liability for any loss of profit, loss of business, business interruption, or loss of business opportunity. (For example, if you intended to resell our product and couldn't, we won't cover lost profits from that, as resale is not allowed anyway.)
  • Liability Cap: Except as unlimited or required by law, in the event that SimpleScents is found liable to you for any claim arising out of these Terms or your use of our services, our liability will be limited to the amount you have paid us in the last 12 months for the service or product at issue, or €100, whichever is greater. This means, for example, if something we did wrong causes you harm, the maximum compensation we would be required to pay (apart from required statutory amounts) is the greater of €100 or the total of your subscription fees for the past year.
  • No Indirect Damages: To the fullest extent permitted by law, SimpleScents will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our website, subscription, products, or these Terms. This includes, without limitation, any loss of enjoyment (if you didn't like a perfume), or the cost of obtaining substitute products or services, or any loss of data or damage to your reputation. We only intend to cover direct losses (and then only to the extent stated).
  • Unlimited Liabilities (what we don't limit): Nothing in these Terms excludes or limits our liability for:
  • Death or personal injury caused by our negligence (or the negligence of our employees, agents, or subcontractors);
  • Fraud or fraudulent misrepresentation;
  • Breach of your legal rights in relation to the products, including the right to receive products that are as described and of satisfactory quality (the "Product Warranty" obligations in UK law, etc.); or
  • Any other liability that cannot be limited or excluded by law, such as certain consumer protection laws that impose specific remedies.

Release for Third-Party Acts: If a dispute arises between you and any third party (say, a courier issue or a misunderstanding with a gift giver), you release SimpleScents (and our employees and agents) from claims, demands, and damages of every kind arising out of or connected with such disputes. This does not apply if we have a direct responsibility; it mainly means we're not liable for issues caused entirely by someone else's actions.

Additional UK Note: If you are in the UK, and something in these limitation terms is inconsistent with the laws of England and Wales (or Scotland or Northern Ireland) that protect consumers, those laws will take precedence. For example, under UK law, we cannot exclude or limit liability for supplying unsafe products that cause injury or property damage – and we do not seek to do so here.

13. Indemnification

(To "indemnify" means to compensate someone for harm or loss that occurs because of your actions.)

You agree to indemnify and hold harmless SimpleScents, its owners, directors, officers, employees, and agents, from any claim or demand (including reasonable legal fees) made by any third party due to or arising out of:

  • Your breach of these Terms or of any law or regulation,
  • Your violation of any rights of a third party (for example, if you posted content that infringes someone's copyright and they take action against us),
  • Your misuse of the SimpleScents website or services, or
  • Any fraud or misrepresentation you commit in using our service.

In simpler terms, if your actions cause harm to someone else or cause us to be sued, and it was due to your wrongful behavior or violation of these Terms, you agree to cover the costs that we incur as a result. We will notify you promptly of any such claim and will cooperate with you (at your expense) in the defense of it. We reserve the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you (in which case, you agree to cooperate with our defense).

This section does not require you to indemnify SimpleScents for our own misbehavior or negligence. It is intended to shield us from liabilities that result from your wrongdoing.

14. Termination of Service

14.1 By You (Termination of Agreement)

  • You may terminate your agreement with these Terms at any time by discontinuing use of our website and services and, if you have an account, by deleting your account or requesting that we delete it. If you wish to delete your account, you can contact our support for assistance.
  • Note that if you have an active subscription and you terminate your account or stop using the service, that does not automatically cancel your subscription; you must explicitly cancel your subscription (see Section 6.5) to stop recurring charges. If you delete your account without formally cancelling a paid subscription, we may treat that as a cancellation request and cancel future charges, but you will not be entitled to any refund for the current term already paid (aside from any statutory rights).
  • Upon termination of your account, your right to use the website and services ceases. However, certain provisions of these Terms will survive termination (for example, any outstanding payment obligations, the limitations of liability, and any provisions that by their nature should survive).

14.2 By SimpleScents

  • We may terminate or suspend your access to the website, your account, or our provision of services (including cancelling your subscription) at any time with notice if:
  • You materially breach these Terms (for example, if we discover fraudulent activity or repeated abuse of our staff or other customers). Material breach may result in immediate termination.
  • We discontinue the subscription service or website operations (in which case we would ideally give you advance notice to the email on file).
  • We are required to do so by law or court order.
  • For any other reason, at our sole discretion, if we determine it's necessary to protect our interests or those of other users. In most cases, if it's not due to misconduct, we will give reasonable notice.

If we terminate service to you without cause (for example, deciding to wind down the business), and you have paid for undelivered products, we will refund those undelivered amounts. If termination is due to your breach, typically no refund will be given (and we may pursue further legal remedies if applicable).

Upon any termination by us, we may deactivate or delete your account and all associated data, and prevent you from further access to your account or the services. You may also lose any referral credits or loyalty points (if any) upon termination for breach.

Survival: Even after termination, any provisions of these Terms that by their nature should survive will remain in effect. This includes (but is not limited to) provisions on intellectual property, user content license, indemnification, disclaimers, limitations of liability, and governing law.

15. Governing Law and Dispute Resolution

15.1 Governing Law

  • These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them or your use of SimpleScents services shall be governed by the laws of Ireland. This means Irish law will apply to interpretation of the Terms and to any disputes.
  • However, if you are a consumer resident in another country, nothing in this clause will deprive you of the protection of the mandatory consumer protection laws of your country of residence. For example, UK consumers will still have the benefit of UK consumer laws, and EU consumers in other Member States will have the benefit of their national consumer laws where applicable.
  • The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

15.2 Jurisdiction

  • We both agree that the courts of Ireland will have non-exclusive jurisdiction. This means:
  • You can bring a legal action in Irish courts.
  • We can bring a legal action against you in Irish courts.
  • As a consumer, you may also have the right to bring proceedings in your local jurisdiction (for instance, if you live in the UK, you could choose to bring a claim in the courts of England, Scotland, or Northern Ireland as appropriate). Non-exclusive jurisdiction allows for this flexibility.

If you are a consumer in the European Union, you may also use the European Online Dispute Resolution (ODR) platform to facilitate resolution of disputes (the ODR platform can be found at https://ec.europa.eu/consumers/odr). However, please note that this simply facilitates communication; it does not override the agreed jurisdiction or governing law stated above.

15.3 Alternative Dispute Resolution (ADR)

  • While not required, we are open to attempting to resolve any complaints or disputes through an alternative dispute resolution process. In the UK, for example, you can find ADR providers through the Trading Standards Institute or Citizens Advice. We do not commit to using ADR in all cases, but we may agree to mediation or arbitration on a case-by-case basis if both parties consent.
  • Informal Resolution: We kindly ask that before filing any legal claim, you reach out to us at our support email to attempt an informal resolution. We pride ourselves on customer service and will do our best to address any issues in good faith. Most issues can be resolved quickly through our support team.

(Note: We do NOT require arbitration or waiving of class action rights in these Terms, given the jurisdiction. Consumers will retain their rights to go to court.)

16. Miscellaneous Provisions

16.1 Entire Agreement

  • These Terms (along with any documents expressly referred to within them, such as the Privacy Policy and any specific promotion terms) constitute the entire agreement between you and SimpleScents regarding your use of our website and services. They supersede any prior agreements, understandings, or representations (whether oral or written) relating to the same subject matter.
  • You acknowledge that in entering into this agreement, you have not relied on any statement or promise that isn't set out in these Terms or referenced documents. (Of course, this does not limit liability for fraudulent misrepresentation.)

16.2 No Waiver

  • If SimpleScents does not enforce a provision of these Terms, that does not mean we have waived our right to do so later. For example, if you miss a payment and we don't immediately enforce our rights, we can still require you to make the payment at a later date.
  • Any waiver of rights must be in writing and signed by us to be effective. One instance of waiver (or overlooking a breach) does not mean we automatically waive any future breaches.

16.3 Severability

  • If any provision of these Terms is found to be invalid or unenforceable by a court or regulator, that provision will be deemed modified to the minimum extent necessary to make it valid and enforceable (or, if that's not possible, it will be severed and ignored). The rest of the Terms will not be affected – they will remain fully valid and enforceable.
  • For example, if a law changes and renders a certain limitation in Section 12 invalid, the rest of Section 12 and the Terms would still stand, and we'd interpret the invalid part in a way that is valid and reflects the original intent as closely as possible.

16.4 Assignment

  • SimpleScents may transfer or assign our rights and obligations under these Terms to another organization or in connection with a merger, acquisition, or sale of assets, provided that your rights are not materially affected. For instance, if another company buys SimpleScents, your subscription would continue with that new company honoring these Terms. We would inform you by email or via the website if such a transfer occurs.
  • You may not assign or transfer your SimpleScents account or any of your rights/obligations under these Terms to any other person without our prior written consent. Any attempt to do so without consent will be null and void. (This does not restrict you from changing who receives the shipment in your household, but legally the contract remains with you.)

16.5 Third-Party Rights

  • These Terms are between you and SimpleScents. Except as required by law, no other person shall have any rights to enforce any term of this agreement. For example, even if you bought a subscription for someone else, only you and we have rights under the contract (the recipient doesn't gain contractual rights, though we'll obviously honor the delivery to them as instructed).
  • However, if you are a consumer in the UK, you should know that these Terms do not affect any rights or remedies of third parties available under the UK Consumer Rights Act or other legislation. We simply mean we're not voluntarily granting enforcement rights to third parties through this contract (no "third party beneficiaries" intended).

16.6 Communications

  • Electronic Communications: We primarily communicate with you via email or through notices on our website. You agree that such electronic communications satisfy any legal requirement that communications be in writing. For contractual purposes, you consent to receive communications from us electronically and you agree that all terms, conditions, notices, and other communications that we provide electronically have the same legal effect as if provided in writing.
  • Contact Information: It is your responsibility to keep your email address and other contact information up-to-date in your account profile so that we can reach you with important information (billing issues, changes to terms, etc.).

16.7 Promotional Emails and Messages

  • With your permission, we may send you marketing emails or texts about new fragrances, promotions, or special offers. You have the right to opt out of marketing communications at any time. Please note that transactional communications (like billing receipts, shipping notifications, or support responses) are not considered marketing and will be sent as needed.

16.8 Force Majeure

  • SimpleScents is not liable for any failure to perform, or delay in performing, any of our obligations under these Terms if such failure or delay is caused by events outside our reasonable control (force majeure events). These events include, but are not limited to: acts of God (such as earthquakes, floods, pandemics), war, terrorism, labor strikes, fire, governmental actions, or breakdown of internet/communications infrastructure. In such cases, our obligations are suspended for the duration of the force majeure event. We will do our best to mitigate any effects and resume our obligations as soon as feasible.

16.9 Language

  • These Terms are written in English. If we provide a translation in another language, it is for convenience only. In the event of any inconsistency between the English version and a translated version, the English version will prevail (to the extent permitted by law).
